Provider Agreement

This Provider Agreement (the “Agreement”) is entered into between Linkit Services LLC (“Linkit,” “we,” or “us”) and the individual or business applying to provide services through the Linkit Services platform (“Provider,” “you”). By accepting this Agreement electronically during onboarding, you agree to its terms.

1. Independent Contractor Status

Provider is an independent contractor and not an employee, agent, partner, or joint venturer of Linkit Services LLC. Nothing in this Agreement creates an employment relationship.

Provider is solely responsible for all federal, state, and local taxes (including self-employment tax), tax filings, business registration, licensing, and any other compliance obligations arising from work performed through the platform. Linkit does not withhold taxes from Provider payouts and may issue an IRS Form 1099 where required by law.

2. Insurance & Licensing

Provider is responsible for obtaining and maintaining any insurance required for the services Provider offers, including general liability and, where applicable, workers' compensation. Provider must comply with all licensing, permitting, and regulatory requirements that apply to the services offered, the jurisdictions served, and the workers Provider engages.

Provider will furnish current proof of insurance and licensing upon Linkit's request and will notify Linkit promptly of any lapse, cancellation, or material change.

3. Service Standards

  • Professional conduct. Provider will treat customers, their households, and their property with respect at all times and will comply with applicable anti-discrimination and anti-harassment laws.
  • On-time arrival. Provider will arrive within the scheduled window, communicate promptly if delays are unavoidable, and complete the booked scope of work.
  • Quality expectations. Provider will perform services in a workmanlike manner consistent with industry standards and Linkit's published service guidelines.

4. Customer Protection & Non-Solicitation

Customers introduced to Provider through the Linkit Services platform are platform customers. During this Agreement and for twelve (12) months after it ends, Provider will not directly or indirectly solicit, accept, or perform services for any Linkit customer outside of the platform, including by offering side deals, cash arrangements, or referrals to a competing platform.

Provider will not share, sell, copy, export, or otherwise disclose any customer information — including names, addresses, phone numbers, email addresses, access codes, photos, or property details — obtained through the platform, except as strictly necessary to perform a booked job.

5. Payments & Payouts

All customer payments for services booked through the platform are processed by Linkit Services LLC. Provider authorizes Linkit to collect customer payments on Provider's behalf and to deduct the Linkit platform fee and any applicable processing fees before remitting Provider's share.

Payouts are issued to the bank or payout account Provider connects during onboarding, on Linkit's standard payout schedule disclosed in the Provider portal. Linkit may withhold, delay, or reverse payouts to address chargebacks, refunds, suspected fraud, customer disputes, or breaches of this Agreement.

6. Cancellations by Provider

Once Provider accepts a job, Provider is expected to perform it. Cancellations by Provider — particularly late or same-day cancellations, or no-shows — harm customers and the platform and may result in cancellation penalties, including fee offsets against future payouts.

Repeated cancellations, no-shows, or last-minute reassignments may result in reduced job offers, temporary deactivation, or suspension or termination from the platform at Linkit's discretion.

7. Reviews & Ratings

Linkit may collect customer reviews, ratings, photos, and feedback about Provider's services and use them for quality monitoring, dispatch decisions, account standing, training, and platform improvement. Provider grants Linkit a non-exclusive, royalty-free license to use such feedback for these purposes.

8. Account Suspension & Termination

Linkit may suspend, restrict, deactivate, or terminate Provider's account at any time, with or without prior notice, including for: suspected fraud or misrepresentation; safety concerns; harassment or misconduct toward customers or staff; repeated service failures, no-shows, or quality complaints; lapses in required insurance or licensing; or any violation of this Agreement, Linkit's policies, or applicable law.

Either party may terminate this Agreement for convenience by written notice. Sections 1, 4, 5, 9, and 10 survive termination.

9. Liability & Indemnification

Provider performs services as an independent contractor and is solely responsible for the services performed, the conduct of any workers Provider engages, and any damage, injury, or loss arising from those services. To the maximum extent permitted by law, Linkit's aggregate liability to Provider arising out of or relating to this Agreement is limited to the platform fees Linkit retained from Provider's bookings during the ninety (90) days preceding the event giving rise to the claim.

Provider will defend, indemnify, and hold harmless Linkit Services LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) the services Provider performs; (b) Provider's breach of this Agreement; (c) Provider's violation of applicable law; or (d) any claim that Provider is an employee of Linkit or that Linkit is responsible for Provider's tax, wage, or benefit obligations.

10. Electronic Signature & Acceptance

By checking the “I accept the Provider Agreement” box during onboarding and submitting your application, you electronically sign this Agreement and agree to be bound by it. You confirm that you are authorized to sign on behalf of the Provider entity and that the information you provide is true and accurate.

Linkit records the date, time, and version of the Agreement you accepted. You may request a copy of your acceptance record at any time by emailing support@linkitservices.com.
